Terms & Conditions — FrndTalk

Effective date: 7/11/2026

These Terms & Conditions (“Terms”) are a binding agreement between you and FrndTalk (“FrndTalk,” “we,” “us,” or “our”) governing your access to and use of the FrndTalk mobile application, the website at frndtalk.com, and related services (together, the “Service”).

By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms govern every feature of FrndTalk, including creating an account; posting, viewing, liking, commenting on, and sharing short videos; following other users; messaging and video calling — including sending or receiving virtual gifts during a call — and purchasing or redeeming coins. Continuing to use the Service after these Terms are updated constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old to create an account or use the Service. By creating an account, you represent that you are 18 or older and that you have the legal capacity to enter into these Terms. FrndTalk may ask you to complete selfie-based identity/age verification (see Section 15 of the Privacy Policy) at any time to confirm eligibility, and may suspend or terminate accounts that fail or refuse verification.

3. User Accounts

3.1 Sign-up methods. You may create an account using Google Sign-In, Sign in with Apple, or an email address and password. You are responsible for keeping your sign-in credentials confidential and for all activity that occurs under your account.

3.2 One account per person. Each person may maintain only one FrndTalk account. Creating duplicate accounts, or an account on behalf of someone else without their knowledge, is prohibited.

3.3 Accurate information. You agree that the information on your profile (username, display name, bio, gender, country, language, interests, and profile picture) is accurate and not misleading, and that you will keep it up to date.

3.4 Profile restrictions. You may not include phone numbers, external contact details, or links to other platforms in fields of your profile that are not designed for that purpose, and you may not impersonate another person or entity.

3.5 Security. Notify us immediately at support@frndtalk.com if you suspect unauthorized access to your account. We are not liable for losses caused by your failure to protect your account credentials.

4. Community Guidelines

FrndTalk is a shared space, and we expect every user to treat others with respect. You agree not to harass, threaten, defraud, or endanger other users, and to interact with people you meet on FrndTalk — including through video calls and chat — using good judgment and appropriate caution, particularly if you choose to communicate off the Service or meet in person.

5. User-Generated Content & License

5.1 What counts as User Content. Short videos, captions, hashtags, comments, chat messages, profile pictures, and any other material you upload, post, or transmit through the Service (“User Content”).

5.2 License you grant us. You retain ownership of your User Content. By posting it, you grant FrndTalk a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt your User Content solely as necessary to operate, promote, and improve the Service (for example, showing your videos to other users, or displaying them in the app's feed or search results).

5.3 Your responsibility. You are solely responsible for your User Content and represent that you own it or have the necessary rights to post it, and that it does not infringe any third party's rights.

5.4 Visibility. Content you post publicly (videos, comments) can be viewed, and potentially screenshotted or screen-recorded, by other users. We cannot prevent another user from capturing content displayed on their own device.

6. Video Upload Rules

When uploading short videos you agree that: you own the content or have permission to post it; captions, hashtags, and mentions must accurately relate to the video and not be used to spam, mislead, or manipulate discovery of unrelated content; you will not upload videos that violate Section 13 (Prohibited Activities); and FrndTalk may remove any video, or restrict its reach, that violates these Terms. You may delete your own videos and edit their captions at any time; deletion removes the video from public view, subject to Section 21 of the Privacy Policy.

7. Messaging Rules

One-to-one chat (text and images) is for personal, lawful communication with other users. You agree not to use messaging to send unsolicited commercial messages (spam), harassing or abusive content, illegal content, or malware. Messages may be reported by their recipient for review under Section 14.

8. Video Calling Rules

8.1 General conduct. One-to-one video calls, powered by Agora RTC, must be used lawfully and respectfully. You agree not to record, screenshot, or otherwise capture another user during a call without their consent, and not to use calls to harass, threaten, or expose another user to obscene or unlawful content.

8.2 Call charges. Video calls consume coins from your wallet based on the applicable rate and call duration; see Section 9. If a call fails to connect or is dropped due to a technical error, FrndTalk may, at its discretion, refund the coins charged for that call.

8.3 Gifting during calls. You may send or receive a virtual gift to or from the other participant while a call is active; this is governed by Section 10 (Virtual Gifts Policy).

8.4 Screen protection. The App blocks screenshots and screen recording while a call is active, as a safety measure. This is a technical control, not a guarantee — a participant may still capture your image or audio using a separate device.

9. Coin Purchase Policy

9.1 What coins are. Coins are a virtual, in-app currency that can be spent within the Service — for example, on video calls or virtual gifts. Coins have no monetary value outside FrndTalk, cannot be exchanged for cash except as described in Section 11 (Redemption/Payout Policy), and are not a deposit, security, or store of value.

9.2 How to purchase. Coins may be purchased through Google Play Billing (Android) or Apple In-App Purchase (iOS), at the prices shown at checkout. All purchases are subject to the applicable app store's own terms of service and payment terms.

9.3 License, not ownership. Purchasing coins grants you a limited, revocable, non-transferable license to use them within the Service; you do not own the coins as property.

9.4 Loss on termination. If your account is suspended or terminated for violating these Terms, any unused coins, gifts, or wallet balance may be forfeited without compensation.

10. Virtual Gifts Policy

You may send a virtual gift to another user during a one-to-one video call, using coins from your wallet. Gifts are displayed with an animation during the call, and each gift is recorded in both the sender's and recipient's gift history. Gifts, once sent, are non-refundable and cannot be converted back into coins by the sender. A recipient's ability to redeem gifts they receive for real currency is governed by Section 11.

11. Redemption / Payout Policy

If you have accumulated coins or gifts eligible for redemption, you may submit a redemption/withdrawal request through the Service, specifying the coins you wish to redeem for the corresponding cash value. Redemption requests are reviewed and approved at FrndTalk's discretion, may be subject to a minimum redemption threshold, processing time, and verification of your identity and payout details, and may be denied or delayed if we suspect fraudulent activity, abuse, or a violation of these Terms on the associated account.

12. Refund Policy

12.1 Purchases made via the App Store or Google Play. Refund requests for coin purchases made through Apple's App Store or Google Play are handled directly by Apple or Google under their respective refund policies. FrndTalk does not control or guarantee the outcome of those requests.

12.2 Discretionary refunds. Where permitted by applicable law, or at our sole discretion (for example, to correct a technical error such as a dropped call, per Section 8.2), FrndTalk may credit coins back to your wallet. This does not create an ongoing obligation to issue similar credits in the future.

12.3 No cash refunds for spent coins. Coins that have already been spent on a call or a virtual gift are not eligible for a cash refund, except where required by applicable consumer protection law.

13. Prohibited Activities

You agree not to, and not to help others to:

Violating this section may result in content removal, account suspension or termination, forfeiture of coins/gifts under Section 9.4, and, where warranted, referral to law enforcement.

14. Reporting, Blocking & Moderation

You can report a user, a video, or a chat message that you believe violates these Terms, and you can block a user to prevent them from contacting you or seeing your content. We review reports through our moderation and admin tools, and may take enforcement action ranging from content removal to permanent account termination, depending on the severity and history of the violation. We are not obligated to take a specific action on any individual report, and reports and their outcomes are handled at our discretion.

15. Intellectual Property

The FrndTalk name, logo, App, and underlying software (excluding your User Content) are owned by FrndTalk or its licensors and are protected by intellectual property laws. Except for the limited license needed to use the Service for its intended personal, non-commercial purpose, these Terms do not grant you any rights to FrndTalk's intellectual property.

16. Copyright Complaints

If you believe content on FrndTalk infringes your copyright, send a written notice to support@frndtalk.com including: a description of the copyrighted work, the location of the allegedly infringing content within the Service, your contact information, and a statement that you have a good-faith belief the use is unauthorized. We will review valid notices and may remove or disable access to the reported content.

17. Content Removal

We may review, remove, or restrict the visibility of any User Content, at our discretion, if we believe it violates these Terms, applicable law, or poses a risk to another user or to FrndTalk. We are not obligated to actively monitor all content on the Service, but we will act on valid reports and legal notices.

18. Account Suspension

We may temporarily suspend your account and restrict access to some or all features (posting, messaging, calling, or wallet functions) if we suspect a violation of these Terms is under investigation, pending completion of identity/age verification, or as a precautionary measure to protect other users or the integrity of the Service.

19. Account Termination

We may suspend or permanently terminate your account, with or without prior notice, if you materially violate these Terms, engage in fraudulent or abusive behavior, or if required by law. You may also delete your own account at any time as described in Section 24 of the Privacy Policy. Termination may result in loss of access to your content, coins, and gift history, as described in Section 9.4.

20. Privacy

Our collection and use of your personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

21. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that content or conduct of other users will meet your expectations. We do not perform criminal background checks on users, and you are responsible for exercising judgment and caution in your interactions with other users, including on video calls.

22. Limitation of Liability

To the fullest extent permitted by applicable law, FrndTalk and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of, or inability to use, the Service — including conduct of other users, content posted by other users, or interactions occurring during a call or chat. Our total aggregate liability to you for any claim arising from these Terms or the Service will not exceed the amount you paid to us in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

23. Indemnification

You agree to indemnify and hold harmless FrndTalk, its affiliates, and their officers, directors, employees, and agents from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of: your use of the Service, your User Content, your violation of these Terms, or your violation of any law or the rights of a third party.

24. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of the State of New Jersey, USA, except where applicable consumer-protection law grants you the right to bring a claim in your own jurisdiction of residence.

25. Changes to These Terms

We may revise these Terms from time to time to reflect changes to the Service or legal requirements. If we make material changes, we will notify you through the App, by posting the updated Terms on the Website, or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
